Sample Terms & Conditions

This sets forth the Agreement made as of this ___ day of ________, 20__, by and between IP Video Specialists, Inc., dba HDOnTap ("HDOnTap"), a California S Corporation with offices at 2120 Jimmy Durante Blvd. #124, Del Mar, CA 92014 and _______________ ("Recipient").

Recitals

A. Sponsor is the owner and operator of a website which is located at the following URL accessible through the internet at https://hdontap.com (the "HDOnTap Website"). HDOnTap may create and maintain additional websites, which also fall under "HDOnTap Website". HDOnTap also maintains a social media presence on Facebook, Twitter, Instagram, YouTube, etc. These social media sites along with the HDOnTap Website constitute the "HDOnTap Online Presence".

B. Sponsor will provide streaming services at no cost to the recipient ("Free Streaming"). Free Streaming services operate under reduced features outlined on FreeWebcamStreaming.com, including HDOnTap branding. HDOnTap reserves the right to update or make changes to these reduced features at any time.

C. HDOnTap may promote the recipient's webcam via a dedicated page on the HDOnTap Website and via the HDOnTap Online Presence.

D. Recipient and HDOnTap maintain co-ownership rights of all video, time-lapse and still images ("Media Types") captured in the duration of this Agreement.

E. In consideration of this Agreement, the Recipient hereby grants the following non-exclusive rights to HDOnTap:
All Media Types, in all media now known or hereafter devised, throughout the universe, in perpetuity
All Media Types may be used in connection with HDOnTap advertising, publicity, commercial exploitation and distribution
Recipient and HDOnTap grant mutual non-exclusive right to use the names and logos as part of press releases, marketing, advertising and promotional material.

F. Recipient will include a backlink to the HDOnTap Website in all instances of use for All Media Types.

G. Additional Recitals to be created and mutually agreed upon as necessary.

All obligations created by this Agreement shall survive change or termination of the parties' business relationship.
